OVERVIEW

The terms "we," "us," and "our" refer to OVIA Brands LLC, a Wyoming limited liability company doing business as Taiko Cookware. "You" refers to the user or customer.

These Terms of Service ("Terms") govern your use of our website and your purchase of our products, including all information, tools, content and services made available through the site.

By accessing our website or placing an order with us, you agree to be bound by these Terms, including any additional policies referenced here or available by hyperlink. These Terms apply to all users of the site, including browsers, customers, vendors and content contributors.

Please read these Terms carefully before using the site. If you do not agree with any part of them, you may not use the site or purchase from us.

1. ELIGIBILITY AND PERMISSIBLE USE

By using our services you confirm that you are at least 18 years old, or that you are using the site with the consent and supervision of a parent or legal guardian.

You agree not to:

  • use our products, services or site for any unlawful purpose;
  • violate any applicable local, state, federal or international law;
  • transmit any malicious or harmful code;
  • interfere with the security or proper functioning of the site;
  • scrape, harvest or systematically extract data from the site.

Violation of these Terms may result in immediate suspension or termination of your access to our services.

2. GENERAL CONDITIONS

We reserve the right to refuse service to anyone, for any lawful reason, at any time.

You acknowledge that:

  • non-payment-related data may be transmitted unencrypted across various networks;
  • payment data is encrypted during transmission;
  • you may not copy, resell or otherwise exploit any portion of our service without our express written permission.

3. ACCURACY OF INFORMATION

We aim to provide accurate and current information, but we are not responsible for typographical errors, inaccuracies or omissions on the site. The material is provided for general reference and should not be your sole basis for a purchasing decision.

We may update content or correct errors at any time without prior notice.

4. PRICES, PRODUCTS AND AVAILABILITY

All prices are shown in US dollars unless stated otherwise at checkout. Applicable sales tax is calculated and displayed at checkout.

Prices, product specifications and availability are subject to change at any time without notice. We may modify or discontinue any product at any time and are not liable to you for doing so.

Some items are available online only and may be limited in quantity.

We aim to represent product colours, finishes and details as accurately as possible, but the appearance on your screen may differ from the physical product.

Our cookware is finished by hand. Minor variations in finish are inherent to the process and are not considered defects.

We reserve the right to limit or cancel orders, including orders placed by the same customer or household, and orders that appear fraudulent or that we cannot lawfully fulfil.

5. ORDER PROCESSING AND CANCELLATION

Orders are processed immediately after payment is confirmed. Every order also includes a digital e-book, which is delivered to you by email straight away.

Because every order is processed immediately, orders cannot be cancelled or amended after they have been placed.

Please double-check your order details, product selection and shipping address before you submit your order.

If we are unable to ship your order within 30 days of receiving it, we will contact you, and you may either consent to the delay or cancel your order for a full refund.

Nothing in this section limits your rights in respect of goods that arrive damaged, defective or incorrect, or that do not arrive at all. See sections 8 and 9.

6. DIGITAL CONTENT

Every order includes a complimentary e-book, delivered to the email address provided at checkout immediately after purchase.

Digital content is not returnable once delivered. The e-book is provided free of charge and carries no separate purchase price, so no amount is withheld from any refund on its account.

The e-book is licensed to you for personal, non-commercial use only. You may not redistribute, resell or publish it.

7. RETURNS AND REFUNDS

Returns must be requested within 14 days of delivery by emailing hello@taiko-cookware.com with your order number and a brief explanation.

  • Items must be unused and returned in their original packaging.
  • Return shipping costs are your responsibility.
  • Our fulfilment centre is located in Asia. We will provide the correct return address once you contact us. Returns sent to any other address cannot be processed.
  • Refunds are issued only after the returned goods have been received and inspected at our fulfilment centre. We do not issue refunds before the goods are back in our possession.
  • If returned goods show a reduction in value resulting from handling beyond what is necessary to inspect them, we may deduct that reduction from your refund.
  • Approved refunds are issued to the original payment method. Depending on your bank or card issuer, it may take several business days for the credit to appear.

This section does not apply to goods that arrive damaged, defective or incorrect, which are covered in section 9.

8. SHIPPING AND DELIVERY

Shipping destinations, methods and estimated delivery times are shown at checkout. Delivery estimates are estimates, not guarantees.

Risk of loss passes to you upon delivery by the carrier.

We are not liable for delays caused by carriers, customs authorities, weather or other circumstances outside our control.

Uncollected or refused packages. If a package is not collected and is returned to us, we will refund the purchase price less the outbound and return shipping costs actually incurred.

Packages marked as delivered. If tracking shows your package as delivered but you have not received it, please first check with your carrier and with anyone else at your address. If the package is confirmed lost, contact us and we will assist you.

Incorrect or incomplete addresses. Please make sure your shipping address is complete and correct before checkout. If a package is returned to us because the address was incorrect or incomplete, we will reship the order free of charge once you provide the correct address. If you prefer a refund instead, we will refund the purchase price less the shipping costs actually incurred.

9. DAMAGED, DEFECTIVE, INCORRECT OR LOST ITEMS

If your order arrives damaged, defective or incorrect, or is confirmed lost in transit, we will provide a free replacement or a refund at our discretion.

Please contact us within 14 days of delivery (or of the expected delivery date, for lost packages) with your order number and photos or video where applicable.

Once a resolution has been provided for a given issue, no further compensation will be issued for that same issue.

10. DISCOUNT CODES AND PROMOTIONS

It is your responsibility to apply discount codes correctly and to complete the steps required to take part in a promotion. For example, in a "1+1" promotion, two items must be added to the cart for the discount to apply.

If the required steps are not completed, the discount or promotion will not be granted and cannot be applied retroactively. We will always do our best to communicate the necessary steps clearly.

Discount codes cannot be combined unless expressly stated, have no cash value, and may be withdrawn or expire at any time.

11. BILLING AND ACCOUNT INFORMATION

You agree to provide current, complete and accurate billing and shipping information for all purchases, and to update that information promptly when it changes.

You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

We reserve the right to cancel any order or limit quantities per customer or household.

12. INTELLECTUAL PROPERTY

All content on this site, including text, product photography, video, graphics, logos, and the Taiko name and marks, is owned by or licensed to OVIA Brands LLC and is protected by copyright, trademark and other intellectual property laws.

You may not reproduce, distribute, modify or create derivative works from any part of the site without our prior written permission.

13. USER SUBMISSIONS AND FEEDBACK

By submitting reviews, photos, comments, suggestions or other content, you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use, reproduce, edit, publish and display that content in any medium, without compensation to you.

You confirm that you own or control the rights to any content you submit, and that it does not infringe the rights of any third party.

You agree not to submit content that is offensive, defamatory, unlawful or misleading. We may remove any submission at our discretion, and we are under no obligation to publish or maintain any submission.

14. THIRD-PARTY TOOLS AND LINKS

We may provide access to third-party tools, services or links. These are provided "as is" and "as available," without warranties of any kind. We are not responsible for the content, policies or practices of any third party, and your use of them is at your own risk and subject to their terms.

15. PROHIBITED USES

In addition to the restrictions in section 1, you may not use the site or its content to:

  • engage in any unlawful or fraudulent activity;
  • impersonate another person or entity;
  • upload viruses or other malicious code;
  • collect or track the personal information of others;
  • interfere with or circumvent the security features of the site.

We may terminate your use of the site for violating any of these prohibitions.

16. DISCLAIMER OF WARRANTIES

Except where a separate written limited warranty is provided with a product, in which case that warranty applies, our products, the site and all services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

We do not warrant that the site will be uninterrupted, secure or error-free, or that any content is accurate or reliable.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, OVIA Brands LLC and its members, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising out of your use of the site or your purchase or use of our products.

Our total aggregate liability for any claim relating to an order will not exceed the amount you paid for that order.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

18. INDEMNIFICATION

You agree to indemnify and hold harmless OVIA Brands LLC and its members, officers, employees and agents from any claim, demand, loss or expense, including reasonable attorneys' fees, arising out of your breach of these Terms or your violation of any law or the rights of a third party.

19. TERMINATION

These Terms remain in effect until terminated by you or by us.

We may suspend or terminate your access to our site or services at any time if we believe you have violated these Terms. You remain responsible for any amounts owed up to and including the date of termination.

20. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your purchase will be brought exclusively in the state or federal courts located in Natrona County, Wyoming, and you consent to the jurisdiction of those courts.

Nothing in these Terms limits any non-waivable rights you may have under the consumer protection laws of your state of residence.

21. SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

22. ENTIRE AGREEMENT

These Terms, together with any policies posted on this site, constitute the entire agreement between you and us regarding your use of the site and your purchases, and supersede any prior agreements or understandings.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

23. CHANGES TO THESE TERMS

We may update these Terms at any time. The current version will always be posted on this page with the date it was last updated. Your continued use of the site after changes are posted constitutes acceptance of the updated Terms.
